Thanks for using Manything and thanks for reading these terms of service. They are a necessary evil. We’d like to make them easier to read but we were told to do this properly. So here goes…
Manything's service enables you, among other things, through the use of the Software, whether on the Site or otherwise to (i) search, access and view content broadcasted and distributed by means of the Site; and (ii) broadcast and distribute live digital media content or pre-generated digital media content (“Service”).
The Service is provided by Manything Systems Limited (Company registered number 08121657) of 127 Milton Park, Abingdon, Oxfordshire, England OX14 4SA. By using our Service, you are agreeing to these terms. Please read them carefully.
Our Service is changing all the time, so sometimes additional terms or product requirements (including age requirements) may apply. Additional terms will be available with the relevant Service and those additional terms become part of your agreement with us if you use the Service.
Some functions of this Service, may require you to register by selecting a unique user identification ("User ID") and password, and providing certain information about yourself. In registering as a user, you represent and warrant that you are of legal age to form a binding contract, and agree to provide accurate, current, and complete information about yourself as prompted, and to maintain and promptly update the information to ensure that it remains accurate, current, and complete. If you provide any information that Manything believes to be inaccurate, not current, or incomplete, or if you select a User ID that Manything, in its sole discretion, finds offensive or inappropriate, Manything has the right to suspend or terminate your account and refuse any and all current or future use of the Service.
You agree to (a) keep your password confidential and to only log in with your User ID and password, (b) ensure that you exit from your account at the end of each session, and (c) immediately notify Manything of any unauthorized use of your User ID and/or password. You are fully responsible for all activities that occur under your User ID. Manything will not be liable for any loss or damage arising from your failure to comply.
The Manything Site is not intended for children under 13. You affirm that you are either more than 13 years of age, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms and to abide by them. If you are under 13 years of age, then please do not use the Manything Site - there are lots of other great web sites for you. Talk to your parents about what sites are appropriate for you.
You must follow any policies made available to you within the Service.
Do not misuse our Service, for example, do not interfere with our Service or try to access it by using a method other than the interface and the instructions that we provide. You may use our Service only as permitted by law, including applicable export and control laws and regulations. We may suspend or stop providing our Service to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.
Using our Service does not give you ownership of any intellectual property rights in our Service or the content that you access. You may not use content from our Service unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Service. Do not remove, obscure or alter any legal notices displayed in or along with our Service.
Manything is not responsible for any content broadcasted, posted, displayed, transmitted or otherwise distributed through the Service or the Site. This means that you, and not Manything, are entirely responsible for all content that you broadcast, post, display, transmit or otherwise distribute through the Service. Manything cannot guarantee the truthfulness, authenticity, quality or accuracy of any content. Under no circumstances will Manything be liable in any way for any content, including, without limitation, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any Content broadcasted, posted, transmitted or otherwise made available via the Service.
Our Service displays some content that is not Manything’s. This content is the sole responsibility of the entity that makes it available. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. But that does not necessarily mean that we review content, so please do not assume that we do. Consequently, the possibility exists that you are confronted with offensive, inaccurate, false or otherwise undesirable content. Manything reserves the right to investigate reports of misuse of its Service and to protect its intellectual property and other assets.
Manything shall have the right (but not the obligation) in their sole discretion to refuse, change, delete, or re-categorize any content that is available via the Service or the site. Without limiting the foregoing, Manything shall have the right to remove any content that violates these terms or is in direct infringement of intellectual property rights (including copyrights, trademarks, service marks and the like) or is otherwise objectionable to Manything. Any decision to refuse access or to refuse broadcasting content is within the sole discretion of Manything, or its designees. You agree that any improper, abusive, fraudulent, and/or illegal activity may be grounds for immediate termination of your access to the Site and/or Service. You further agree and acknowledge that you must evaluate, and that you bear all risks associated with the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.
When registering for broadcasting of any content, you agree to select an accurate category for your content. In addition, you agree that you will refrain from using tags or submit information that do not pertain to the content or that infringe upon third party's intellectual property.
By using or accessing the Service as a broadcaster or as a viewer, you agree to refrain from the following:
In addition, you agree not to use or launch any automated system, including without limitation, "robots," "spiders," "offline readers," or other similar systems, that access the video, television, film or other digital media content through Manything Site or performing automated registration to the Site in a manner that sends more request messages to the Manything servers in a given period of time than a human user can reasonably produce in the same period by using a conventional web browser, or automatically records the content of channels in a given period of time than a user can reasonably watch, or create automatic searches and clicks on channels links and watch marks in a given period of time than a human user can reasonably produce.
You agree not to collect or harvest any personally identifiable information, including User IDs, from the Site, nor to use the communication systems provided by the Site for any commercial solicitation purposes. You understand that your Content may be transmitted over various networks and changed to conform and adapt to technical requirements.
You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, any of the content, software, materials, or Services in whole or in part.
In connection with your use of the Service, we may send you service announcements, administrative messages and other information. You may opt out of some of those communications.
You will need a Manything Account in order to use some of our Service. You will need to create your own Manything Account.
In addition Manything offers the facility to sign up to a number of monthly subscription plans, including plans with differing conditions, limitations and features, including without limitation as to number of recording devices and cloud storage space. You can sign up to such plans or find specific details regarding your subscription with Manything using your online account on the Manything website. Manything reserves the right to modify, terminate or otherwise amend our offered pricing and subscription plans from time to time.
You can upgrade, downgrade or cancel your pricing plan using your online account on the Manything website. If you are signing up to a subscription plan you must provide us with a current, valid, accepted method of payment, currently Paypal, as may be updated by Manything from time to time ("Payment Method") to use the Service. Manything will bill the monthly subscription fee, and any applicable taxes such as value added tax, to your Payment Method. You must cancel your subscription before it renews each month in order to avoid billing of the next month's subscription fees to your Payment Method.
By starting your Manything subscription and providing or designating a Payment Method, you authorise Manything to charge you a monthly subscription fee for the subscribed plan at the then current rate, and any other charges you may incur in connection with your use of the Service to your Payment Method. Where you change your plan during a month, we may bill you any difference between the subscription fee for your old and new plans for the remainder of that month. The amount billed each month for the subscribed plan is a recurring amount which will only be varied in the event that you change your plan or Manything adjusts the prices for the Service. Where the applicable subscription fee is varied, you authorise us to charge your Payment Method for such varied amounts, which may be billed monthly in one or more charges.
Manything reserves the right to adjust pricing for our Service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Any price changes to your Service will take effect no earlier than 30 days following notice to you.
Any subscription fee for our Service will be automatically billed using your Payment Method at the beginning of your subscription and each month thereafter unless and until you cancel your subscription. Manything reserves the right to change the timing of our billing, in particular, as indicated below, if your Payment Method has not successfully settled. In the event your subscription began on a day not contained in a given month, Manything may bill your Payment Method on a day in the applicable month or such other day as we deem appropriate. Your renewal date may change due to changes in your subscription. Manything may authorise your Payment Method in anticipation of subscription or service-related charges. As used in these Terms of Service, "billing" shall indicate a charge, debit or other payment clearance, as applicable, against your Payment Method. Unless otherwise stated differently, month or monthly refers to your billing cycle.
Payments are nonrefundable and there are no refunds or credits for partially used periods. Following any cancellation, however, you will continue to have access to the Service until the end of your current billing period. At any time, and for any reason, Manything may provide a refund, discount, or other consideration to some or all of our subscribers ("credits"). The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion. The provision of credits in one instance does not entitle you to credits in the future for similar instances, nor does it obligate us to provide credits in the future, under any circumstance.
Where more than one Payment Method exists you may edit your chosen Payment Method information by logging into your online account on the Manything website. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not edit your Payment Method information or cancel your account, you remain responsible for any uncollected amounts and authorise us to continue billing the Payment Method, as it may be updated. This may result in a change to your payment billing dates. For certain Payment Methods, the issuer of your Payment Method may charge you a foreign transaction fee or other charges. Check with your Payment Method service provider for details.
You provide your explicit consent to the immediate commencement of your subscribed Service when you have confirmed the subscription plan details and provided a Payment Method. You acknowledge that you lost your right to withdrawal, but this does not affect your right to cancel your subscription, which you may do at any at any time, and you will continue to have access to the subscribed Service until the end of your monthly billing period. In addition you may have rights of cancellation under consumer protection rights that you may be entitled to under the mandatory laws of your local jurisdiction. Manything does not provide refunds or credits for any partial-month subscription periods or periods of unused Service. To cancel, login to your online account on the Manything website and follow the instructions for cancellation. If you cancel your subscription plan, your account will automatically revert to the free plan at the end of your current billing period. If you cancel or downgrade your subscription plan, you acknowledge that from the end of the billing period any recorded content that is not included in the conditions, limitations and features of your new plan will cease to be stored on Manything’s System. If you signed up for Manything using your account with a third party as a Payment Method, and wish to cancel your Manything subscription at any time, you may need to do so through such third party, including by visiting your account with the applicable third party and turning off auto-renew, or unsubscribing from, the Manything Service through that third party. You may also find billing information about your Manything subscription by visiting your account with the applicable third party.
We respond to notices of alleged copyright infringement and terminate the accounts of repeat infringers according to the process set out in the Electronic Commerce (EC Directive) Regulations 2002.
Our Service allows you to submit content. You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.
When you upload or otherwise submit content to our Service, you give Manything (and those we work with) a worldwide licence to host, store, replicate and modify (such as making adaptations or other changes that we make so that your content works better with our Service) such content. The rights that you grant in this licence are for the limited purpose of operating and improving our Service.
Make sure that you have the necessary rights to grant us this licence for any content you submit to our Service.
If you agree to share a clip with Manything you grant us the right to use any part of that clip to promote our service in perpetuity and for no fee. Your content will only be used alongside the Manything brand such as a Manything press release or for advertising the Manything service. There will be times when your content is the primary focus of some publicity and the Manything brand is secondary (such as a newspaper publishing a clip of your pet doing something funny). If you delete your account with Manything you agree that any clips that you have shared with us will remain available for us to use to promote our service. Manything will not sell your content without your consent.
Our Service includes downloadable software. This software may be updated automatically on your device once a new version or feature is available. We also let you adjust your automatic update settings.
Manything gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive licence to use the software provided to you by Manything as part of the Service. This licence is for the sole purpose of enabling you to use and enjoy the benefit of the Service as provided by Manything in the manner permitted by these terms. You may not copy, modify, distribute, sell or lease any part of our Service or included software save for your own content, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.The restrictions on reverse engineering or attempting to extract our source code apply to all components of our service with a limited exception - some versions of viewer apps may indicate on the 'about' information that they contain certain libraries linked to FFmpeg on those specific applications only and on no other parts of the service the restrictions on reverse engineering do not apply in compliance with LGPLv2.1
Open-source software is important to us. Some software used in our Service may be offered under an open-source licence that we will make available to you. There may be provisions in the open-source licence that expressly override some of these terms.
We are constantly changing and improving our Service. We may add or remove functionalities or features and we may suspend or stop the Service altogether.
You can stop using our Service at any time, although we would be sorry to see you go. Manything may also stop providing the Service to you or add or create new limits to our Service at any time.
We believe that you own your data, and preserving your access to such data is important. If we discontinue the Service, where reasonably possible, we will give you reasonable advance notice and a chance to remove information from the Service.
We provide our Service using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we do not promise about our Service.
Other than as expressly set out in these terms or additional terms, neither Manything nor its suppliers or distributors makes any specific promises about the Service. For example, we do not make any commitments about the content within the Service, the specific functions of the Service or their reliability, availability or ability to meet your needs. We provide the Service “as is”.
Some jurisdictions provide for certain warranties, like the implied warranty of satisfactory quality, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties.
When permitted by law, Manything and Manything’s suppliers will not be responsible for lost profits, lost revenues or loss of data, financial losses or indirect, special, consequential, losses or damages to the fullest extent permitted by law.
To the extent permitted by law, the total liability of Manything and its suppliers and distributors for any claims under these terms, including for any implied warranties, is limited to the amount that you paid us to use the Service (or, if we choose, to supplying you with the Service again).
In all cases, Manything and its suppliers and distributors will not be liable for any loss or damage that is not reasonably foreseeable.
We recognise that in some countries, you might have legal rights as a consumer. If you are using the Service for a personal purpose, then nothing in these terms or any additional terms limits any consumers’ legal rights which may not be waived by contract.
If you are using our Service on behalf of a business, that business accepts these terms. It will hold harmless and indemnify Manything and its affiliates, officers, agents and employees from any claim, action or proceedings arising from or related to the use of the Service or violation of these terms, including any liability or expense arising from claims, losses, damages, judgements, litigation costs and legal fees.
Thanks for using the Service in connection with a device provided by Apple, Inc. (“Apple”). The following terms therefore apply:
We may modify these terms, for example, to reflect changes to the law or changes to our Service. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. Changes will not apply retrospectively and will become effective no earlier than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.
These terms govern the relationship between Manything and you. They do not create any third party beneficiary rights.
If you do not comply with these terms and we do not take action immediately, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).
If it turns out that a particular term is not enforceable, this will not affect any other terms.
The courts in some countries will not apply the laws of England and Wales to some types of disputes. If you reside in one of those countries, then where the laws of England and Wales are excluded from applying, your country’s laws will apply to such disputes related to these terms. Otherwise, you agree that the laws of the laws of England and Wales will apply to any disputes arising out of or relating to these terms or the Service. Similarly, if the courts in your country will not permit you to consent to the jurisdiction and venue of the courts in England, then your local jurisdiction and venue will apply to such disputes related to these terms. Otherwise, all claims arising out of or relating to these terms or the services will be litigated exclusively in the English courts, and you and Manything consent to personal jurisdiction in those courts. These terms will not limit any consumer protection rights that you may be entitled to under the mandatory laws of your local jurisdiction.
